Terms of Use
In short
- You get a workspace; you deploy what you like within the acceptable-use rules; you pay monthly per app for the resources you allocate.
- Your code and data are yours. We store and run them only to provide the service.
- If a charge fails we retry for three days, then pause the app; we never delete your data for non-payment while the workspace exists.
- Deleted apps keep their volumes for 30 days so mistakes can be undone.
- The service is provided as is; our liability is capped at what you paid us in the previous three months.
1. The agreement
These Terms are a contract between you (the person or organisation using the service) and Nexent ("Nexent", "we") for the use of Nexent Cloud - the website at cloud.nexent.dev, the console at console.cloud.nexent.dev, the API at api.cloud.nexent.dev and everything deployed through them. By creating an account or using the service you accept these Terms and the Privacy Policy. If you are accepting on behalf of an organisation, you confirm you have the authority to bind it.
2. Accounts and workspaces
You must be at least 18 and provide accurate details. You are responsible for everything done with your credentials and API keys; keep them secret and tell us at security@nexent.dev if you think they have been exposed.
Resources live in workspaces. The workspace owner is responsible for the workspace, including its bill and the actions of members they invite. Roles (owner, admin, member, consultant, guest) set what each member can do; granting access is your decision and your responsibility.
3. The service
Nexent Cloud builds and runs applications and databases from source code, container images or marketplace templates; provides addresses, TLS certificates, persistent storage, backups for database templates, logs and metrics; and offers messaging services. Features are described in the documentation, which forms part of these Terms where it describes limits and behaviour (for example retention periods).
Marketplace templates package third-party open-source software. That software is provided under its own licence; we are not its author and do not warrant it. We may add, change or retire templates and features with notice where practical.
4. Acceptable use
You may not use the service to:
- break the law of Tanzania or of any place you operate from or target, or infringe anyone's rights;
- host or distribute malware, phishing, or content that is unlawful, defamatory or that you have no right to publish;
- attack, probe or overload systems - ours, other customers' or anyone else's - or attempt to escape the isolation of your apps;
- send unsolicited bulk messages (SMS or email) or messages that violate carrier rules or the rights of recipients;
- mine cryptocurrency, run proxies/VPN exit nodes or open relays, or otherwise consume resources in ways that harm the platform, unless agreed in writing;
- resell the service as your own without a partner agreement.
We may investigate suspected violations and remove content or suspend apps to protect the platform and other customers, giving notice where it is safe to do so.
5. Billing and payment
- Prices. Usage is charged per resource at the rates on the pricing page, in the workspace's currency (USD or TZS). The rates in force when an app is created are locked on that app until you change its resources.
- When. Each app is charged its monthly amount on its billing date, counted from creation, from the workspace wallet. SMS credits are prepaid.
- Wallet. Top-ups are made by mobile money or card through our payment provider and credited on confirmation. Wallet balances are not interest-bearing and are refundable on request for unused, unallocated balance, less payment-provider fees.
- Failed charges. If a charge cannot be taken we notify you and retry daily for three days; after that the app is paused (stopped, with data and address kept) until the balance is restored. We do not delete data for non-payment while your workspace exists.
- Taxes. Prices exclude VAT and other taxes unless stated; where we are required to charge them they appear on the invoice.
- Disputes. Tell us within 30 days of an invoice if you believe it is wrong and we will review it.
6. Your content and data
Everything you deploy - code, images, databases, files, messages - remains yours. You grant us only the rights needed to store, build, run, back up, transmit and display it in order to provide the service and to comply with law. We do not use your content to train models or for any purpose other than providing the service.
You are responsible for having the rights to what you deploy and for your own compliance obligations towards your users (for example your own privacy notice). You are also responsible for keeping copies of anything irreplaceable: backups within the platform have fixed retention, and deleted workspaces are not recoverable.
When you delete an app its persistent volumes are kept for 30 days in the Trash and then permanently removed. Database backups are kept for the template's retention period. Deleting a workspace removes everything in it after the same retention.
7. Availability and support
We work to keep the service available and will give notice of planned maintenance where practical, but we do not guarantee uninterrupted service. Support is by email at support@nexent.dev during business hours in Tanzania; we aim to respond to incidents affecting many customers first. Any service-level commitments beyond this are made in a separate written agreement.
8. SMS services
Sender names are issued by carrier gateways, subject to their approval and rules; we submit your request and cannot guarantee approval or timing. You must have consent to message every recipient and must honour opt-outs. Messages are charged per part at the rate shown when you buy credits; failed deliveries are not charged. Credits are non-transferable between services and are refundable only on closure of the workspace, less fees.
9. Third-party services
The service connects to third parties at your request - GitHub, GitLab, container registries, payment providers, messaging gateways. Their terms apply to your use of them. We store the tokens you authorise only to perform the actions you ask for (cloning, pulling images, creating webhooks) and you can revoke them at any time from Workspace › Integrations.
10. Intellectual property
Nexent Cloud - the console, API, documentation, name and logo - belongs to Nexent. You may not copy, reverse-engineer or resell it except as these Terms allow. Feedback you give us may be used without obligation. Open-source components remain under their own licences.
11. Warranties and liability
The service is provided as is and as available. To the extent the law allows, we exclude all implied warranties, including fitness for a particular purpose, and we are not liable for indirect or consequential loss, lost profits, lost data that you could have backed up, or losses caused by third-party services, your content or your users.
Our total liability to you for all claims in any twelve-month period is limited to the amount you paid us in the three months before the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited by law.
You will indemnify us against claims arising from your content, your users or your breach of these Terms.
12. Suspension and termination
You can delete apps, leave workspaces or close your account at any time from the console. We may suspend or terminate access with notice for a material breach of these Terms, and immediately where necessary to prevent harm, comply with law or respond to a security incident. On termination, retention periods in section 6 apply and any unused, unallocated wallet balance is refundable on request.
13. Changes
We may update these Terms. Material changes are announced in the console and by email to workspace owners at least 14 days before they take effect; continuing to use the service after that date is acceptance. The date at the top shows the current version.
14. Governing law
These Terms are governed by the laws of the United Republic of Tanzania, and the courts of Tanzania have exclusive jurisdiction, without prejudice to either party seeking urgent relief elsewhere.
